Ok- I am walking home with ipod in my pocket (no case)- it was kind of warm. I take it out of my pocket to change songs- and it just goes blank. Then- I can hear the clicking of the pad when I press play- but still a blank screen. Then about 10mins later it turns off (no clicking)- and won't turn back on again..
It is a 40gig 4th gen..

*It is now sitting charging..

has anyone else had this problem?..
I really don't want to re-set it because I have a lot of backed up files on it..

*tried plugging it into comp with no luck..

This happens repeatedly and people still don't get it.

Do not use your iPod for backing up. Use a high quality external hard drive or a CD-R's to back up. They are much more reliable

Unless your machine has also died and you've lost all your files, how can it matter if you lose your backups? First make a proper backup from your computer to CD, DVD or external hard drive then reset the iPod.
